GentleSpeak — Terms

Terms & Conditions

The terms that govern your use of GentleSpeak’s online English classes. By purchasing classes, you agree to these terms.

1. Services We Provide

溫言有限公司 (GentleSpeak Co., Ltd.) (“GentleSpeak,” “we,” “us,” or “our”) operates an online English conversation and reading program (the “Service”) delivered through live, small-group video classes and one-on-one Personal Practice sessions.

Each group class lasts approximately 40 minutes and is designed to maximize speaking time and guided reading. Group classes are limited to a maximum of six (6) students per class. One-on-one Personal Practice sessions are conducted between a single student and a teacher.

2. Who May Purchase Classes

Classes are purchased by a parent or legal guardian on behalf of a child or adolescent student. By purchasing classes, you represent that you are at least 18 years of age and are the parent or legal guardian of the student, or that you are otherwise legally authorized to enroll the student and accept these Terms on the student’s behalf.

3. Parent / Guardian Responsibility

The parent or guardian who creates an account and purchases classes is responsible for:

  • Providing accurate student and contact information at enrollment.
  • Ensuring the student attends scheduled classes and is prepared (materials, device, and a quiet environment).
  • Supervising the student’s use of the Service and any class links or materials.
  • All activity carried out under the account, including payments and communications.
  • Keeping account credentials and access codes confidential and secure.

4. Scheduling & Class Access

Classes are scheduled on specific days and times, which are confirmed at enrollment and recorded in your account. Class meeting links and access details are provided through the Service. It is your responsibility to join each class on time using the link provided.

Class schedules, teachers, and group compositions may be adjusted by us to maintain the quality and balance of the program. Where a change materially affects your enrollment, we will provide notice through the Service or by email.

5. Attendance & Late Arrival

Students should join each class a few minutes before the scheduled start time. A student who arrives late may join the class in progress, but the class will not be extended and the missed portion will not be repeated or made up.

6. Missed Classes

There are no make-up classes for student absences. If a student is absent from a scheduled class for any reason, with or without notice, the class is considered delivered and is not reschedulable, refundable, or creditable. We encourage you to notify us in advance when a student cannot attend, but advance notice does not create an entitlement to a make-up or credit.

7. Cancellations

You may cancel your enrollment and request a full refund only if the cancellation is made before the first scheduled class. Once the first class has taken place (whether or not the student attended), the purchase is non-refundable. Full details, including the Taiwan 7-day cooling-off period and notice requirements, are in our Cancellation & Refund Policy.

8. Rescheduling

Because each purchase reserves a seat in a specific group, individual classes cannot be rescheduled or moved to another time by the student. A student may not transfer their seat in one class to a different class or time slot. Scheduled class times are fixed at enrollment.

9. Teacher Absence

If a teacher is unable to teach a scheduled class, we will provide a qualified substitute teacher wherever possible so the class proceeds as scheduled. If a teacher takes prolonged personal leave and no substitute is available, GentleSpeak reserves the right to announce the affected dates as “GentleSpeak holidays.” These dates will be published in advance in the class schedule. No classes are held on GentleSpeak holidays, and the package end date will be extended by the number of affected class dates so the student retains every purchased class. GentleSpeak holidays are treated in the same way as other holidays and are not teacher-initiated cancellations.

10. Technical Problems

You are responsible for providing a suitable device, internet connection, and software required to join classes. We are not responsible for failures caused by your equipment, connection, or environment.

If a class cannot be held due to a technical failure on our side, the affected class will be credited to the student’s account. Technical issues originating from the student’s side do not entitle the student to a refund, credit, or make-up.

11. Refunds

Your payment reserves a seat in the group and the right to access the classes in your package. A full refund is available only if you cancel before the first scheduled class. No refund is available once the first class has taken place, whether or not the student attended, except where required by applicable law (including the Taiwan 7-day cooling-off period).

Complete refund and cancellation rules, including notice requirements and remedies when GentleSpeak cancels, are in our Cancellation & Refund Policy. Refund requests before the first class must be submitted by email to contact@gentlespeak.com.

12. Expiration of Purchased Classes

Purchased classes and credits expire on the package end date recorded for the student’s enrollment. Classes not used by the package end date are forfeited and are not refundable or extendable, except where required by applicable law or where the package is extended for announced GentleSpeak holidays under Section 9. It is your responsibility to use your purchased classes before the applicable package end date.

13. Acceptable Use

You agree to use the Service lawfully and respectfully. In addition to the conduct rules in Section 14, you may not, in connection with the website or the Service:

  • Scrape or copy the site — you may not use bots, scrapers, or automated tools to extract content, or copy website text, images, or design for reuse elsewhere.
  • Attempt to disrupt the site — you may not introduce viruses or malware, overload or crash our servers, bypass security measures, or interfere with the proper working of the Service.
  • Share your account unauthorized — you may not give your login, access code, or class link to people outside the student’s household, or allow anyone to join a class they are not enrolled in.
  • Impersonate others — you may not pretend to be another parent, student, teacher, or GentleSpeak staff member, or use another person’s account without their permission.
  • Misuse class materials — you may not copy, redistribute, resell, or commercially reuse worksheets, slides, videos, or other materials, as set out in Section 16 (Intellectual Property & Copyright) below.
  • Behave abusively — you may not be abusive, harassing, threatening, or disrespectful toward teachers, students, or staff, whether in class, by message, or by email.

A breach of this section may result in removal from a class, suspension, or termination of enrollment without refund, as described in Section 14 (Inappropriate Behaviour) and Section 15 (Suspension & Termination).

14. Inappropriate Behaviour

Students and parents are expected to behave respectfully toward teachers, other students, and staff. Disruptive, abusive, harassing, or otherwise inappropriate behaviour may result in removal from a class, suspension, or termination of enrollment without refund, at our discretion.

15. Suspension & Termination

We may suspend or terminate an account and enrollment if there is a breach of these Terms, non-payment, or conduct that we determine is harmful to the Service or other users. You may stop using the Service at any time. Termination does not relieve you of obligations for classes already delivered or fees already due, and does not entitle you to a refund except as provided in Section 11 (Refunds).

16. Intellectual Property & Copyright

GentleSpeak creates its own worksheets, lesson materials, slides, videos, exercises, website content, branding, and class activities. This section explains who owns those materials, how you may use them, and what you may not do with them.

What we own. All materials provided through GentleSpeak — whether given in class, emailed to you, downloaded from the website, or shown during a session — are owned by 溫言有限公司 (GentleSpeak Co., Ltd.) or our licensors. This includes worksheets and printable practice sheets; lesson materials and teacher guides; slides and on-screen class presentations; videos and recorded demonstrations created by GentleSpeak; exercises, prompts, and reading passages; website content (text, images, layout, and design); branding (the GentleSpeak name, logo, and visual identity); and class activities and original teaching methods. These materials are protected by copyright and other intellectual property laws. Where we use third-party materials (for example, published reading books), those remain the property of their respective owners and are used by GentleSpeak under license.

Purchasing does not transfer ownership. When you purchase a class or a package, you are paying for the service of instruction and the right to access the classes and materials during your enrollment. You are not buying the materials themselves. Purchasing does nottransfer any ownership, copyright, or intellectual property rights in the materials to you or your child. All rights remain with GentleSpeak or our licensors.

Permitted personal use. You may use GentleSpeak’s materials for personal educational use by the enrolled student and the student’s household — for example, printing or downloading a worksheet for your child to complete at home, replaying a video or slide shown in class for the enrolled student to review, keeping copies for your child’s personal study records, or sharing a worksheet with a sibling in the same household who is also practicing. This permission is personal and limited. It does not allow you to share materials outside the household, publish them, or use them for any commercial purpose.

What you may not do. Materials provided by GentleSpeak are for the student’s personal educational use and may not be copied, redistributed, resold, or commercially reused without our written permission. In particular, you may not: copy, scan, or reproduce materials to share with people outside the student’s household; upload, post, or publish materials online (including on social media, blogs, file-sharing sites, or messaging groups); sell, resell, or charge anyone for access to the materials; use the materials to run your own classes, tutoring, or commercial service; remove or alter any copyright notice, watermark, or branding; use the GentleSpeak name, logo, or branding without our written permission; or modify, translate, or create derivative works from the materials for distribution.

Branding & website content. The GentleSpeak name, logo, and overall visual identity are our trademarks. You may not use them on your own website, materials, or social media without our written permission, except to refer to GentleSpeak factually (for example, “my child takes classes at GentleSpeak”). The content of this website — text, images, layout, and design — is also owned by GentleSpeak, and you may not copy or reproduce website content for your own site or commercial use.

Third-party materials. Some materials used in class, such as published reading books, are owned by third parties and used by GentleSpeak under license. These materials remain the property of their respective owners and are subject to their own terms. You may not copy, redistribute, or reuse third-party materials outside of class participation.

Enforcement. If we become aware that our materials have been used in a way that is not permitted under this section, we may ask you to stop, remove the materials, and, where appropriate, take further action. Unauthorized copying, redistribution, or commercial use of our materials may also constitute a breach of these Terms and may result in suspension or termination of enrollment without refund.

Requests & permissions. If you would like to request permission to use any GentleSpeak material beyond personal educational use — for example, to reference us in an article or to license content — please contact us at contact@gentlespeak.com. We will consider each request individually.

17. Limitations of Liability

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability for any claim arising out of or relating to the Service is limited to the amount you paid us for the classes giving rise to the claim.

We do not guarantee specific learning outcomes, fluency levels, or examination results. We are not liable for the conduct of other students or for events beyond our reasonable control.

18. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of China (Taiwan), without regard to conflict-of-laws principles. 溫言有限公司 (GentleSpeak Co., Ltd.) is established in Taiwan.

19. Disputes & Complaints

If you have a complaint or dispute, please first contact us at contact@gentlespeak.com. We will make a good-faith effort to resolve the matter. Any dispute that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the competent courts in Taiwan, unless otherwise required by mandatory consumer-protection law.

20. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Effective Date” below and, where the changes are material, provide notice through the Service or by email. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may stop using the Service; cancellation and refund rights are governed by Sections 7 and 11.

Effective Date: August 30, 2026
